This Privacy Notice ("Notice") describes how Social4Commerce Inc., doing business as Sell & Tell ("Company," "we," or "us") handles information we receive or collect about individual representatives of subscribers to our services (collectively, "You" or "Your") when interacting with us, subscribing to our services, and using our websites and other digital services that link to this Notice (the "Services").

This Notice applies to the Company when it controls the processing of personal information for its own business purposes, such as when we receive contact and billing information from our business clients ("Clients") who subscribe to our Services. This Notice does not apply to information we process as a service provider or processor on behalf of our Clients when they use our Services to collect data from their shoppers. If You have questions about how a Client processes Your information through the Sell & Tell Widget, please contact that Client directly.

This Notice applies to Social4Commerce Inc. and its relevant affiliates. If You are located in the European Economic Area, Switzerland, or the United Kingdom, please refer to our EU Privacy Notice for additional information about how we process personal data as a controller.

1. Whose Information Do We Collect?

As used in this Notice, "personal information" means any information that relates to, describes, or could be used to identify a natural person, directly or indirectly. "You" means the individual who provided personal information to us in connection with a Client's subscription to our Services or obtained by us through the use of the Services, and includes personal business contact information of individual Client representatives.

2. What Personal Information Do We Collect?

2.1 Personal Contact Information

Information to create an account, register as a subscriber, receive our communications, manage Your account, or participate in demos, events, and promotional activities. This includes: Your legal name, alias, postal address, email address, online identifiers (such as username and password), phone numbers, social media identifiers, or other similar identifiers.

2.2 User Experience and Support Information

We collect user experience information to understand how our Services are accessed, used, and how they perform. This includes: activity logs, device ID, browser type, network connection, IP address, purchase history, and Subscription Plan details. If You interact with our support team, we collect Your message exchanges and may record interactions for quality assurance and training purposes in accordance with applicable laws.

2.3 Payment Information

If You make a purchase, our payment processor will collect Your payment method information, such as credit card information and billing details. We do not view or store Your full credit card or other payment information.

2.4 Geolocation Information

Based on Your device and browser settings, we may collect location data such as IP address, approximate geographic location, and city and state information provided through web forms.

2.5 Usage Information

We use web tracking technologies (e.g., cookies, web beacons, pixel tags, and clear GIFs) to operate the Services efficiently and to collect data related to usage. This may include the IP address of the services You visited before and after visiting our Sites, browser type, pages visited, links clicked, and whether You opened email communications. Some of this information may be collected using third-party tracking technologies. Please see our Cookie Notice in Section 6 for more information.

2.6 Shopper Interaction Data (Collected on Behalf of Clients)

When Shoppers interact with the SELL AI agent Widget on a Client's ecommerce store, the Widget collects Shopper Interaction Data, including expressed preferences, stated objections, purchase intent signals, and responses to micro-interactions. This data is collected and processed on behalf of the Client, and the Client is the controller of such data. We process this data as a service provider under the Client's instructions and our Data Processing Agreement.

3. How Do We Collect Your Information?

3.1 Directly from You

When You visit our Sites, subscribe to our Services, fill out registration forms, contact us, participate in demos or webinars, or otherwise interact with our Services.

3.2 From Third Parties

We receive information about You from third parties, including service providers that help us build and maintain our Services, ecommerce platform partners (such as Shopify), authentication service providers, data brokers, and social media networks.

3.3 Passively Through Tracking Technologies

Our Services use tracking technologies to collect information about Your experience when accessing and using our Services. See our Cookie Notice in Section 6.

3.4 From Your Employer or Colleagues

We collect and process personal information concerning representatives of our Clients and business partners. We may also receive Your information through our referral programs.

4. Why Do We Collect Your Personal Information?

We collect and use Your information for the following purposes:

  • To provide, enhance, and operate our Services, including the SELL and TELL AI agents, the analytics dashboard, and integrated digital tools;
  • To communicate with You regarding Your account, subscription, or support requests;
  • To manage, authenticate, and promote the security of Your account;
  • To create, maintain, customize, and administer Your account;
  • To enter, manage, and fulfill our contractual obligations with You or Your company;
  • To process payments, invoicing, and billing;
  • To provide customer service and technical support;
  • To inform You of additional features, products, and services that may be of interest, unless You have opted out;
  • To diagnose, repair, and track service and quality issues;
  • To send transactional messages, security alerts, and updates;
  • To manage Your participation in demos, webinars, events, surveys, and promotions;
  • To personalize our Services and deliver relevant content;
  • To develop, test, and improve our AI models, algorithms, and platform features using aggregated and de-identified data;
  • To evaluate and audit the usage and performance of the Services;
  • For legal, safety, and security reasons, including compliance with law, fraud prevention, and protection of our rights and the rights of others; and
  • In connection with corporate transactions, such as mergers, acquisitions, or sales of assets.

5. When Do We Disclose Your Personal Information?

5.1 Service Providers and Contractors

We share Your information with third-party service providers working on our behalf, such as hosting providers, IT providers, ecommerce platform partners, analytics companies, marketing providers, professional advisors, and payment processors. We provide these parties with only the information they need to perform their services.

5.2 Legal and Law Enforcement

We disclose information without further notice to You to any law enforcement or regulatory authority to the extent required by law, or if disclosure is reasonably necessary to: investigate illegal activities or suspected fraud; enforce our agreements and protect our rights; or establish, exercise, and defend against legal claims.

5.3 Corporate Transactions

We disclose Your information to financial advisors, legal service providers, investors, and potential acquirers in connection with any merger, acquisition, sale, financing, or similar transaction.

5.4 Marketing Partners

We may share Your business contact information with partners and sponsors in connection with our marketing, promotional, and commercial communications, subject to applicable opt-out rights.

5.5 With Your Consent

We may disclose Your information to other third parties with Your consent where required by law. We may also de-identify, anonymize, or aggregate information so that it is no longer personally identifiable before sharing for any legally permitted purpose.

6. How Do We Use Tracking Technologies?

We collect information through the Services using common tracking technologies, including cookies, log files, pixels, tags, web beacons, and Local Storage Objects to support and enhance features, monitor performance, personalize content, conduct marketing and analytics, and for other lawful purposes.

We use analytics services such as Google Analytics to assist with analyzing traffic. You can opt out of Google Analytics by installing Google's opt-out browser add-on.

We use the following types of cookies: (a) Session Cookies that expire when You close Your browser; (b) Necessary Cookies required for the operation of the Services; (c) Performance Cookies that collect anonymous usage information; (d) Functionality Cookies that remember Your preferences; and (e) Targeting or Advertising Cookies used to track ad performance.

Most browsers accept cookies by default. You can block or reject cookies through Your browser settings, although doing so may affect Your access to certain features.

7. Opting Out of Marketing Communications

If You wish to be removed from our marketing mailing list, please contact us at team@sellandtell.ai or follow the unsubscribe link in any marketing email.

8. Children's Privacy

Our Services are designed for business Clients, and we do not knowingly collect personal information from anyone under the age of eighteen (18). If You are a parent or legal guardian and believe Your child has provided us with information, please email us at privacy@sellandtell.ai.

9. Accessing and Updating Your Information

You can request to access, update, or delete Your personal information by using the profile editing tools in the Services or by sending an email to privacy@sellandtell.ai. We will review and process such requests in accordance with applicable laws and our data retention policies.

10. Data Security

We implement reasonable administrative, technical, and physical safeguards designed to protect personal information from unauthorized access, use, alteration, and destruction. These measures include encryption of data in transit and at rest, access controls, regular security assessments, and employee training. However, no method of transmission over the Internet or electronic storage is completely secure, and we cannot guarantee absolute security.

11. Data Retention

We retain personal information for as long as necessary to fulfill the purposes for which it was collected, including to satisfy any legal, accounting, or reporting requirements. The retention period may vary depending on the context of the processing and our legal obligations. When personal information is no longer needed, we will securely delete or anonymize it.

Your personal information may be transferred to and processed in the United States or other countries where our service providers operate. We take appropriate steps to ensure that such transfers comply with applicable data protection laws, including the use of standard contractual clauses or other approved transfer mechanisms where required.

13. Your Privacy Rights

13.1 California Residents

If You are a California resident, You may have additional rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), including the right to: know what personal information we collect, use, and disclose; request deletion of Your personal information; opt out of the sale or sharing of Your personal information; and not be discriminated against for exercising Your privacy rights.

13.2 Other U.S. State Privacy Rights

Residents of Colorado, Connecticut, Delaware, Virginia, and other states with comprehensive privacy laws may have similar rights, including access, correction, deletion, data portability, and the right to opt out of certain processing activities. 13.3 European Economic Area, UK, and Switzerland

If You are located in the EEA, UK, or Switzerland, please refer to our EU Privacy Notice for information about Your rights under the General Data Protection Regulation (GDPR), including rights of access, rectification, erasure, restriction of processing, data portability, and objection.

14. Changes to This Notice

We may update this Notice from time to time. When we make material changes, we will update the Effective Date at the top of this page and, where required by law, provide You with prior notice. We encourage You to review this Notice periodically.
