This Addendum supplements the Master Subscription Agreement between Hesient Inc. (“Company”) and Customer for use of Sell&Tell with Shopify. Shopify is a separate platform; Customer must also comply with its applicable Shopify agreements. Shopify platform and billing requirements take precedence where they control the integration.

1. One Subscription and Free Trial

Sell&Tell has one subscription: US$179 per Shopify store per month, plus applicable taxes, with every feature included. There is no annual option, per-visitor charge, conversation allotment, usage tier, or overage fee. Subscription charges are processed only through Shopify on the recurring cycle displayed during approval; Shopify’s monthly app billing uses a thirty-day cycle.

The twenty-one-day free trial starts at Shopify installation. No card is needed for the trial. We send an email reminder three days before it ends. Customer must choose to subscribe and approve the recurring Shopify charge to continue. The trial does not automatically become a paid subscription; without approval, access ends when the trial expires and no paid subscription charge begins.

2. Installation and Merchant Control

Customer installs Sell&Tell through Shopify’s installation flow and reviews the requested access. The app has read permissions and no Shopify write permissions. Customer turns the Widget on or off in Shopify’s theme editor; Sell&Tell links to that page. The app does not edit the theme, tag customers, update metafields, or make other changes to the store. Customer decides whether to act on recommendations.

Customer must maintain a compatible store and verify Widget behavior with its theme and other installed apps. We do not promise compatibility with every published theme or a fixed effect on page speed. Contact team@sellandtell.ai for support.

3. Information Read from Shopify

  • Products: titles, descriptions, vendors, product types, handles, tags, images, variants, and prices, used for catalog context and product-specific questions and insights.
  • Themes: read-only theme information used to support the integration and merchant-controlled activation. The app never edits a theme.
  • Orders: new orders received by webhook and past orders synchronized through Shopify. Stored fields include order identifiers and numbers, totals, status, payment method, and line items. Stored order records do not contain buyer names or email addresses. These records are used only to attribute revenue to a Widget session using the order identifier, never buyer identity.
  • Customer list: no customer-list permission is requested or used. The app never reads Shopify’s customer list.
  • Writes: none. The app cannot tag customers, write metafields, or modify Shopify records.

4. Shopper Widget and Privacy

The shopper-side Widget records dwell time, scrolling, the page zone being read, variant changes, cart actions, and the page address. Its automatic behavioral events do not include a shopper’s name, email address, or IP address, and it does not read the Shopify customer login. It uses a random visitor identifier in a first-party cookie and browser storage for one year, together with a session identifier for each browser tab. Random identifiers can still constitute personal information even though they do not contain a name. A behavioral summary describes a visit; it is not a device fingerprint. Text a shopper enters into the panel is stored, up to 2,000 characters, and can include personal information voluntarily entered by that shopper.

By default, the shopper-side script starts without waiting for a cookie banner. It can wait for consent when the merchant’s banner sends the required signal. Installation alone does not establish consent integration. Customer is responsible for providing accurate notices and configuring and verifying any consent or opt-out controls required for its store before collection begins.

The Privacy Notice, Cookie Policy, and Data Processing Agreement describe these practices. Customer must disclose both Widget activity and order data accurately. Stored order records exclude buyer names and email addresses; free-text panel responses can still contain personal information voluntarily entered by a shopper. Customer remains responsible for its store’s notices and legal obligations.

5. Cancellation and Uninstallation

Customer can stop the next renewal in one click using Cancel subscription in Sell&Tell account settings. There is no thirty-day notice requirement, and paid access continues through the current paid period. Contact team@sellandtell.ai if cancellation controls are unavailable.

Shopify automatically cancels the app subscription when the app is uninstalled. The Company cannot continue a Shopify subscription after Shopify cancels it and does not create a separate direct-billed subscription. Uninstallation disconnects store access and stops new collection through the integration. Shopify’s rules govern charges already incurred and reinstatement during a remaining paid period. Reinstalling requires restored permissions and any Shopify billing approval that applies.

Turning off the Widget in the theme editor is different from cancelling the subscription or uninstalling the app: it stops the Widget but does not cancel subscription billing. There is no money-back guarantee or ordinary partial-period refund; mandatory refunds and the express remedies in the Master Subscription Agreement and DPA remain applicable.

6. Data Export, Recovery, and Deletion

Raw shopper behavior is deleted after ninety days during active service.

After the trial ends without a paid subscription, or after paid access expires or otherwise ends, Customer has seven (7) calendar days to export or recover its store data. Customer may request export or recovery at team@sellandtell.ai. The Company deletes that store data on the eighth day after access ends. Cancelling a renewal does not start this window while paid access continues. A recovery request does not extend the deletion deadline; Customer should complete its export within the seven-day window. This does not require deletion of records that applicable law requires the Company to retain, which will be restricted to that legal purpose, or of lawfully de-identified or aggregated information that no longer identifies a person or Customer.

Shopify privacy and data-deletion requests are handled under Shopify’s applicable requirements, Customer’s instructions, and applicable law. A valid earlier deletion requirement takes precedence over a general retention period. Uninstallation prevents new Shopify data access even where a paid billing period has time remaining; Shopify’s reinstall rules do not extend an applicable data-deletion deadline.

7. Support and Platform Changes

Email support at team@sellandtell.ai includes an initial response within twenty-four hours, including weekends and holidays. There is no contractual uptime percentage, service-credit program, fixed backup or restoration guarantee, or promise of continued service if Shopify makes the integration unavailable. See the Support & Availability Policy. Shopify may change its platform, permissions, APIs, billing rules, or app availability; the Company will address changes as needed to provide the supported Services.

8. Relationship to Other Terms

Customer is responsible for its store, products, content, customer relationships, and compliance with Shopify’s terms and applicable law. The Company is responsible for the Sell&Tell Services as provided in the Master Subscription Agreement. The existing liability limits and indemnity provisions of that Agreement apply to this Addendum. Disputes follow that Agreement’s San Francisco, California court and arbitration venue.
